1. Agreement to Terms

By accessing or using Nyphex services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

2. Services Provided

Nyphex provides the following services ("Services"):

• CertMaker (certmaker.io): AI-powered certificate generation platform for creating, managing, and distributing digital certificates
• PipeNotify (pipenotify.nyphex.com): Integration service connecting Pipedrive CRM to Google Chat
• Nyphex.com: Company website and product information

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services.

3.2 Account Responsibilities

• Provide accurate and complete registration information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Not share your account credentials with others

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Acceptable Use Policy

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Create fraudulent, misleading, or deceptive certificates
• Impersonate others or misrepresent affiliations
• Upload malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Scrape, crawl, or use automated tools without permission
• Overload or interfere with our infrastructure
• Resell or redistribute our Services without authorization
• Use our Services for spam or unsolicited communications
• Generate certificates for illegal or unethical purposes

5. Subscription and Pricing

5.1 Subscription Plans

CertMaker offers various subscription tiers with different features and usage limits. Current pricing is available at certmaker.io.

5.2 Billing

• Subscriptions are billed monthly or annually as selected
• Payments are processed through Stripe, our payment provider
• You authorize us to charge your payment method on recurring billing cycles
• Failed payments may result in service suspension
• All fees are in USD unless otherwise stated

5.3 Free Trial

CertMaker offers 100 free certificates per month on the free tier. We may modify or discontinue free tier offerings at any time.

5.4 Refunds

All fees are non-refundable except as required by law or as explicitly stated in our refund policy. Contact us within 7 days of purchase if you believe you are entitled to a refund.

5.5 Price Changes

We reserve the right to modify pricing with 30 days' notice. Existing subscriptions will be honored at the original price for the current billing period.

6. Cancellation and Termination

6.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until the end of the paid period.

6.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Misuse or abuse our Services

6.3 Effect of Termination

Upon termination, you will lose access to your account and data. We may delete your data after a reasonable grace period. You should export your data before canceling.

7. Intellectual Property

7.1 Our IP Rights

The Nyphex platform, including CertMaker and PipeNotify, contains proprietary content owned by Nyphex. This includes software, designs, text, graphics, logos, and trademarks. You may not copy, modify, distribute, or reverse engineer our Services.

7.2 Your Content

You retain ownership of content you create (certificates, data, uploaded files). By using our Services, you grant us a license to:

• Store and process your content to provide Services
• Use AI services to generate certificates based on your input
• Display public certificates with QR code verification
• Make backups for disaster recovery

7.3 Feedback

Any feedback, suggestions, or ideas you provide become the property of Nyphex. We may use feedback without compensation or attribution.

8. Privacy and Data

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services

Our Services integrate with third-party platforms:

• CertMaker: Stripe (payments), OpenAI/Anthropic (AI), Cloudflare (storage)
• PipeNotify: Pipedrive (CRM data), Google Chat (notifications)

We are not responsible for the availability, functionality, or terms of third-party services. Your use of third-party services is subject to their respective terms and policies.

10. Service Availability

We strive to provide reliable uptime but do not guarantee uninterrupted access. Services may be unavailable due to maintenance, updates, or technical issues. We are not liable for downtime, data loss, or service interruptions.

11. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF CONTENT
• ERROR-FREE OPERATION

Certificates generated using CertMaker are for informational purposes. We do not verify the accuracy of certificate content or the credentials of issuers.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYPHEX SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• SERVICE INTERRUPTIONS OR ERRORS
• UNAUTHORIZED ACCESS TO YOUR DATA
• THIRD-PARTY ACTIONS OR CONTENT

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Nyphex from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you create or upload

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before pursuing formal legal action, you agree to contact us to seek an informal resolution of the dispute. Most disputes can be resolved amicably through direct communication.

14.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of Services after changes constitutes acceptance of the new Terms.

16. General Provisions

16.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Nyphex.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 Waiver

Failure to enforce any right does not waive our ability to enforce it later.

16.4 Assignment

We may assign these Terms. You may not assign your rights without our consent.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
